Terms of Service

1. Acceptance of Terms

By accessing or using any website, application, platform, or service operated by Forward Foundry (collectively, “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Forward Foundry is a venture studio that provides professional services including software development, artificial intelligence integration, product strategy, technology consulting, and related digital services. The Forward Foundry Control Panel (“FFCP”) is an internal operational intelligence platform that aggregates data from third-party services to support venture management. Forward Foundry does not sell physical products. All offerings are digital services delivered electronically.

3. Subsidiaries and Affiliated Brands

Forward Foundry operates multiple ventures, products, and brands under various names and “doing business as” (DBA) designations. All subsidiaries, affiliated projects, and DBA entities — including but not limited to MyGripShop, OpenPlay, Surveyor AI, and future ventures — are covered by these Terms unless a specific venture publishes its own separate terms. Any reference to “Forward Foundry,” “we,” “us,” or “our” in these Terms includes all such affiliated entities.

4. User Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on behalf of that organization.

5. Account Registration and Security

Certain features of the Services may require you to create an account or provide credentials. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify Forward Foundry immediately at contact us if you become aware of any unauthorized use of your account or any other breach of security.

6. Service Fees and Payment Terms

Services are billed on a per-project, per-engagement, or retainer basis as agreed in writing between you and Forward Foundry. All payments are processed through Stripe and are denominated in United States Dollars (USD) unless otherwise specified. Payment is due upon receipt of invoice or as otherwise agreed. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. You are responsible for all applicable taxes associated with your use of the Services.

7. Refund and Cancellation Policy

Because Forward Foundry provides professional services (not physical goods), refunds are handled as follows: for incomplete engagements, fees may be pro-rated based on work completed. No refunds will be issued for completed deliverables that have been accepted. Either party may cancel an ongoing engagement with 14 days written notice. Upon cancellation, you are responsible for payment of all work completed through the effective date of cancellation. Disputes regarding fees should be raised within 30 days of the invoice date.

8. Intellectual Property

All content, features, functionality, trademarks, and source code of the Services (including FFCP) are owned by Forward Foundry and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Services without prior written consent. For client engagements, ownership of deliverables is determined by the applicable statement of work or engagement agreement. Unless otherwise agreed in writing, Forward Foundry retains ownership of all tools, frameworks, and reusable components developed during an engagement.

9. Third-Party Integrations

The Services integrate with third-party platforms including GitHub, Slack, Stripe, Twilio, Google Analytics, Ahrefs, GoDaddy, Replit, and others. Your use of those platforms is governed by their respective terms of service and privacy policies. Forward Foundry is not responsible for the availability, accuracy, content, or policies of any third-party service.

10. Acceptable Use

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services. Prohibited activities include but are not limited to: attempting to gain unauthorized access to any part of the Services; using the Services to transmit malware or other harmful code; interfering with any other party's use of the Services; using automated means to scrape, crawl, or otherwise extract data from the Services without prior written consent; and any activity that violates applicable laws or regulations.

11. Service Availability

Forward Foundry will use commercially reasonable efforts to maintain the availability of the Services. However, the Services are provided on a best-effort basis without any service level agreement (SLA) or uptime guarantee. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We are not liable for any interruption or unavailability caused by factors beyond our reasonable control, including but not limited to acts of God, internet service provider failures, third-party service outages, natural disasters, or government actions.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Forward Foundry shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of data, revenue, profits, or business opportunities. In no event shall our aggregate liability exceed the total fees paid by you to Forward Foundry during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. FORWARD FOUNDRY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Indemnification

You agree to indemnify, defend, and hold harmless Forward Foundry and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit through the Services.

15. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute informally by contacting Forward Foundry at contact us. If the dispute is not resolved within thirty (30) days of initial contact, either party may initiate binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in the State of Colorado. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction. Claims eligible for small claims court may be filed there instead of arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.

17. Termination

Forward Foundry may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. You may terminate your use of the Services at any time by ceasing all use and notifying us in writing. Upon termination: (a) your right to access the Services ceases immediately; (b) you remain liable for any fees owed for services rendered prior to termination; and (c) the following sections survive termination: Intellectual Property, Limitation of Liability, Warranty Disclaimer, Indemnification, Dispute Resolution, and Governing Law.

18. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with any applicable engagement agreements or statements of work, constitute the entire agreement between you and Forward Foundry regarding the Services and supersede all prior agreements and understandings.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated “Last updated” date. For significant changes, we may also provide notice via email or through the Services. Your continued use of the Services after any changes constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Services.
